Terms of Service

Summary in plain English

These are the terms under which you can use Motuva. By creating an account, you agree to them. If anything's unclear, write to admin@motuva.com before signing up.

Edit photos of your stock on the free tier, or pay for a higher allowance — don't try to break the service or use it for things it's not built for. You retain ownership of your photos. We own Motuva. You can cancel any time from inside the app. UK law governs the contract.

1. The agreement

Motuva is a service provided by MotorCut Ltd (company number 12362580, registered in England and Wales, with its registered office at Ava Office, Fir Tree Close, Stretton, Warrington, Cheshire, WA4 4NA, United Kingdom). This agreement is between MotorCut Ltd and you, the customer named on the account.

By creating an account, you confirm you have authority to bind your dealership to these terms.

2. Your account

• You must give us accurate registration details and keep them current.
• You're responsible for everything that happens under your account, including team members you invite.
• Keep your password secure. Tell us right away if you think it's been compromised.
• One account per dealership unless we agree otherwise.

3. Subscription and payment

Paid subscriptions run on a monthly cycle. Fees are billed in advance and shown on the pricing page. Card or bank-debit payment is required. There is no annual plan or annual commitment.

Tax. Fees are stated exclusive of tax. UK VAT at 20% is added to subscriptions billed in GBP, at checkout and on every renewal. No tax is added to subscriptions billed in EUR or USD.

If a payment fails, you won't be able to create new adverts until it's sorted — this takes effect straight away, not after a grace period. Your account, your saved studios and the adverts you've already created stay exactly as they are. Update your card in the app and you're back immediately.

You can change tier at any time. Upgrades take effect immediately. Downgrades take effect at the next billing cycle.

Refunds. We do not refund subscription fees on paid tiers. If you cancel a paid subscription, your account stays active until the end of the current billing cycle — it is not pro-rated, and afterwards reverts to the Free tier. We do not refund part-months, mid-cycle downgrades, or unused image allowances.

4. Free tier

New accounts start on the Free tier, which includes 20 images per month at no cost — there is no time-limited trial and no automatic charge. You can stay on Free for as long as you like. Upgrading to a paid tier is optional; if you choose to upgrade, payment is taken immediately and your higher allowance applies straight away.

5. Usage limits

Each tier comes with a monthly image allowance: Free includes 20 images per month, and the Pro and Ultra allowances — together with the current fee for each tier — are set out on the pricing page at motuva.com. The Free and Pro tiers have hard monthly caps — processing pauses until the next billing cycle when you hit them, or you can upgrade for an immediate reset. Ultra is unlimited under a fair-use limit; we'll only contact you if usage suggests automated abuse rather than a busy month. Enterprise allowances are agreed bespoke in your order.

6. Your content

You retain ownership of the photos you upload. By uploading, you grant MotorCut Ltd a worldwide, perpetual, irrevocable, royalty-free, sub-licensable, and transferable licence to use, host, copy, store, modify, create derivative works from, process, anonymise, aggregate, train AI models on, license to third parties, and otherwise commercialise the photos and any data derived from them, for any purpose. This licence survives termination of your account.

You confirm that you (or the dealership on whose behalf you act) own or are authorised to upload, edit, and commercially exploit each photo, and that the photos do not contain personal data of third parties without their consent.

7. Acceptable use

Don't use Motuva to:

• Process images you don't have rights to
• Edit imagery of people in ways that misrepresent them
• Build a competing photo-editing service that re-sells our processing
• Reverse engineer, scrape, or load-test the service without permission
• Process anything illegal, abusive, or sexual

If we believe you've broken these rules, we may suspend or close your account.

8. Our intellectual property

The Motuva software, models, brand, and website are ours and remain ours. You're licensed to use them within these terms — that licence doesn't transfer ownership.

9. Service availability

We aim for 99.9% monthly uptime, excluding scheduled maintenance and force-majeure events. We may carry out maintenance with reasonable notice. We don't guarantee uninterrupted access.

10. Suspension and termination

You can cancel at any time from inside the app — go to Subscription. Cancellation takes effect at the end of your current billing cycle.

We may suspend or close your account immediately for non-payment, suspected abuse, or breach of these terms. We'll explain why in writing.

Once your account is closed you'll no longer have access to the app or to the adverts in it. If you need a copy of your images, ask us before you close the account and we'll help.

11. Warranties and disclaimers

We warrant that the service will be provided with reasonable skill and care. Beyond that, the service is provided "as is" — we don't guarantee it will be error-free or fit any particular purpose beyond what's described in our marketing materials.

AI-edited images may occasionally produce artefacts or unexpected results. You are responsible for reviewing edits before publishing them.

12. Limitation of liability

Nothing in these terms limits liability for death, personal injury, fraud, or anything that can't be limited under law.

Subject to that, our total liability under this agreement in any 12-month period is capped at 100% of the fees you paid during that period. Neither party is liable for indirect or consequential losses, lost profits, or lost data beyond what either side could reasonably foresee at signup.

13. Changes to these terms

We may update these terms as the product evolves. Material changes are emailed at least 30 days before they take effect. If you don't accept the change, you can cancel without penalty before it kicks in.

14. Governing law

This agreement is governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except that either of us may bring proceedings to enforce intellectual property rights anywhere.
